2. Term
This Agreement starts on September 30, 2026 and continues until it is ended under the Termination section.
3. Payment
The Client will pay the Provider a fee of [__________] on completion of the Services.
The Provider will invoice the Client, and the Client will pay each invoice within 30 days of receiving it.
4. Independent contractor
The Provider is an independent contractor, not an employee, partner or agent of the Client. The Provider decides how and when the Services are performed and is responsible for their own taxes, insurance and equipment.
5. Ownership of work
Once the Client has paid in full, the Client owns the finished work the Provider creates for them under this Agreement. The Provider keeps ownership of their pre-existing tools, methods and materials.
6. Confidentiality
Each party will keep the other's non-public business information private and use it only to carry out this Agreement. This does not apply to information that is already public, that the party already knew, or that the law requires them to disclose.
7. Termination
Either party may end this Agreement by giving the other 14 days' written notice. The Client will pay for Services performed up to the date the Agreement ends.
8. Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect or consequential losses, and the Provider's total liability under this Agreement is limited to the fees the Client paid under it.
9. Governing law
This Agreement is governed by the laws of [__________].
10. Entire agreement
This is the entire agreement between the parties about the Services. It replaces any earlier discussions and can only be changed in writing signed by both parties.
